Smart Factory Service Terms
Welcome to Smart Factory. We keep these terms as short and clear as possible, because we want you to be able to read them without calling a lawyer. Below you’ll find what you can expect from us, and what we expect from you.
A few things up front:
- Your data is yours. We keep it safe for you, you own it, and we only use it to provide our service to you.
- Cancel monthly. If our service isn’t right for you, you’re not stuck in a long-term contract.
- No signature needed. By using the software, you agree to these terms.

1. Who we are, and who you are
In these terms we mean:
- Smart Factory, “we” or “us”: Smart Factory B.V., a Dutch private limited company with its registered office in Haaksbergen.
- Customer or “you”: the organization using our software.
- User: anyone who works with the software on your behalf, such as colleagues or external workers you give access to.
- Software: the Smart Factory application, including all updates and new features we add to it.
2. How you may use the software
You receive the right to use the software within your own organization. That right is personal (only for you), non-exclusive, and non-transferable to anyone else.
What you may do:
- Use the software for your own business activities.
- Give access to colleagues and external workers who work for you.
What you may not do:
- Resell, rent or license the software to third parties.
- Copy, replicate or reverse-engineer the software.
- Remove or alter our name, logo or copyright notices.
3. Responsible use
We assume you handle the software with care. Specifically: don’t do anything that breaks the law, don’t try to bring the software down or compromise it, and don’t gain unauthorized access to other people’s systems or data.
4. Who owns what
Your data is yours. Anything you enter or store in Smart Factory is and remains your property. We manage it for you, but we make no claim to it.
The software is ours. All rights to the software, designs, models and underlying technology belong to Smart Factory (or the parties from whom we license them). These terms grant you the right to use the software while your subscription is active, nothing more and nothing less.
5. Data and privacy
We know you entrust us with sensitive business data. We handle it carefully.
- Confidential. We treat your data with strict confidentiality.
- Securely stored. Your data is hosted on Microsoft Azure, which meets internationally recognized security and compliance standards (including ISO 27001 and SOC 2).
- Lawful. We process personal data in accordance with applicable privacy laws (including the GDPR) and our privacy statement.
6. Updates and ongoing development
We don’t stand still. Smart Factory is continuously developed to get better. This means new features are regularly added and existing features sometimes change.
We are not obliged to permanently support a specific feature, but we always make those choices with our customers’ interests in mind.
7. Subscription and payment
- Smart Factory is offered on a monthly subscription basis.
- Current pricing is published on our website.
- Invoicing and payment take place monthly.
- If we adjust our pricing, you’ll hear about it at least 30 days in advance.
8. Term and cancellation
Your agreement starts the moment you put the software into use and continues on a monthly basis.
You can cancel each month, with a notice period of 14 days. You don’t have to give a reason.
In exceptional cases, we may terminate the agreement immediately, namely in case of serious misuse of the software, breach of law, or if your organization goes bankrupt.
After the agreement ends, your access to the software stops and we may deactivate your accounts.
9. Liability
We do our utmost to provide Smart Factory in a stable and reliable way. Even so, we provide the software “as is” and cannot guarantee that everything will always work without errors or interruption.
To the extent permitted by law:
- Our total liability is limited to the amount of one month’s subscription.
- We are not liable for indirect damages, such as loss of revenue, consequential damages or loss of data.
If something goes wrong, let us know. We’d rather solve a problem than hide behind a clause.
10. Changes to these terms
We may adjust these terms when needed, for example due to new legislation or new features. For material changes we’ll let you know at least 30 days in advance. The current version is always available on our website.
11. Applicable law
These terms are governed by Dutch law. If we cannot resolve a dispute together, we will submit it to the competent court in Overijssel, the Netherlands. We naturally hope it never comes to that.

1. Chi siamo noi e chi sei tu
In questi termini si intende per:
- Smart Factory, “noi” o “ci”: Smart Factory B.V., una società a responsabilità limitata di diritto olandese con sede legale a Haaksbergen.

2. Come puoi utilizzare il software

- Utilizzare il software per le tue attività aziendali.
- Dare accesso a colleghi e collaboratori esterni che lavorano per te.
Cosa non puoi fare:
- Rivendere, noleggiare o concedere in licenza il software a terzi.
- Copiare, replicare o sottoporre il software a reverse engineering.
- Rimuovere o modificare il nostro nome, il nostro logo o le note sul copyright.
3. Uso responsabile
Partiamo dal presupposto che tu utilizzi il software con cura. In particolare: non fare nulla che violi la legge, non cercare di mettere fuori uso o di compromettere il software e non accedere senza autorizzazione a sistemi o dati altrui.
4. Chi possiede cosa
I tuoi dati sono tuoi. Tutto ciò che inserisci o archivi in Smart Factory è e resta di tua proprietà. Lo gestiamo per te, ma non rivendichiamo alcun diritto su di esso.
Il software è nostro. Tutti i diritti sul software, sui design, sui modelli e sulla tecnologia sottostante appartengono a Smart Factory (o ai soggetti da cui ne abbiamo ottenuto la licenza). Questi termini ti concedono il diritto di utilizzare il software finché il tuo abbonamento è attivo, niente di più e niente di meno.
5. Dati e privacy
Sappiamo che ci affidi dati aziendali sensibili. Li trattiamo con cura.
- Riservati. Trattiamo i tuoi dati con la massima riservatezza.
- Archiviati in modo sicuro. I tuoi dati sono ospitati su Microsoft Azure, che soddisfa standard di sicurezza e conformità riconosciuti a livello internazionale (tra cui ISO 27001 e SOC 2).
- Conformi alla legge. Trattiamo i dati personali in conformità alle leggi sulla privacy applicabili (incluso il GDPR) e alla nostra informativa sulla privacy.
6. Aggiornamenti e sviluppo continuo
Non restiamo fermi. Smart Factory viene sviluppato continuamente per diventare sempre migliore. Questo significa che vengono aggiunte regolarmente nuove funzioni e che le funzioni esistenti a volte cambiano.
Non siamo obbligati a supportare in modo permanente una specifica funzione, ma prendiamo sempre queste decisioni tenendo conto degli interessi dei nostri clienti.
7. Abbonamento e pagamento
- Smart Factory è offerto in abbonamento mensile.
- I prezzi in vigore sono pubblicati sul nostro sito web.
- La fatturazione e il pagamento avvengono mensilmente.
- Se modifichiamo i nostri prezzi, te lo comunicheremo con almeno 30 giorni di anticipo.
8. Durata e disdetta
Il contratto decorre dal momento in cui inizi a utilizzare il software e prosegue su base mensile.
Puoi disdire ogni mese, con un preavviso di 14 giorni. Non devi indicare alcun motivo.
In casi eccezionali possiamo risolvere il contratto con effetto immediato, ovvero in caso di grave uso improprio del software, di violazione della legge o di fallimento della tua organizzazione.
Al termine del contratto, il tuo accesso al software cessa e possiamo disattivare i tuoi account.
9. Responsabilità
Facciamo il massimo per fornire Smart Factory in modo stabile e affidabile. Tuttavia, forniamo il software “così com’è” e non possiamo garantire che tutto funzioni sempre senza errori o interruzioni.
Nella misura consentita dalla legge:
- La nostra responsabilità complessiva è limitata all’importo di un mese di abbonamento.
- Non siamo responsabili per danni indiretti, come perdita di fatturato, danni consequenziali o perdita di dati.
Se qualcosa va storto, faccelo sapere. Preferiamo risolvere un problema piuttosto che nasconderci dietro una clausola.
10. Modifiche ai presenti termini
Possiamo modificare questi termini quando necessario, per esempio a seguito di nuove leggi o di nuove funzioni. In caso di modifiche sostanziali, te lo comunicheremo con almeno 30 giorni di anticipo. La versione aggiornata è sempre disponibile sul nostro sito web.
11. Legge applicabile
Questi termini sono disciplinati dalla legge olandese. Se non riusciamo a risolvere insieme una controversia, la sottoporremo al tribunale competente di Overijssel, nei Paesi Bassi. Naturalmente speriamo che non si arrivi mai a tanto.
Smart Factory Privacy Statement
We value your privacy and the privacy of everyone who works with our software. This statement explains, clearly and concisely, which personal data we process, why we do so, and what your rights are.
This statement covers personal data for which Smart Factory itself is the controller, such as account, contact and billing details. For personal data that you or your users enter into the software, for example about your employees, the Data Processing Agreement applies.

- We only process what is necessary to provide and secure our software.
- Purpose
- To manage your account, provide support, handle billing, and keep Smart Factory running reliably.

- Your data is encrypted and we never sell your information.
- Control
- You can ask us to access, correct or delete your personal data, to the extent permitted by law.

1. Who we are
We are Smart Factory B.V., a Dutch private limited company with its registered office in Haaksbergen.
For data we process for our own purposes, such as your account or a contact request, we are the controller within the meaning of the GDPR. For data that you or your users enter into our software, we are processor on your behalf. The data processing agreement is part of your subscription.
2. What data we process
We keep this to a minimum. Specifically:
- Customer data in the software. Anything you or your users enter into Smart Factory, to the extent it contains personal data. You retain control over this data. We use it only on your instructions and to provide the service.
- Account data.
- Contact details.
- Invoicing and payment details.
- Technical and analytical service data. Data on the use and operation of Smart Factory, needed to keep the service safe, stable and reliable, and to improve it in a targeted way.
3. Why we process it
For each purpose we have a legal basis under the GDPR:
- Performance of the contract. Managing your account, providing support, billing, and making the software available.
- Legitimate interest. Securing our systems, ensuring availability, fraud prevention, error analysis and product improvement. We make sure this is always balanced with your interests.
- Legal obligation. For example, retaining invoices for tax authorities.
4. How long we keep it
We do not retain personal data longer than necessary for the purposes for which we process it, or as required by law.
5. Who we share it with
Only with parties needed to provide the service, and only to the extent necessary:
- Hosting. Customer data in the software is stored safely and encrypted at Microsoft Azure in the West Europe region.
- Payments. Our payment provider processes the data needed for payment.
- Customer communication. Service providers may process the data needed for contact and handling of questions, for email and support.
- Analytics and monitoring. To keep Smart Factory safe, stable and reliable and to improve it in a targeted way, we use analytics and monitoring tools. These process technical and analytical service data, not customer data in the software.
- External systems you connect yourself. If you set up an API connection through Smart Factory to a system of your choice, such as an ERP package or a dashboard tool, the data you send that way goes to that supplier. We facilitate the connection; your agreements with that party are then leading.
- Legal obligation. To regulators or law enforcement when the law requires.
With parties that process personal data on our behalf, we conclude data processing agreements or make appropriate privacy arrangements. We never sell your data to third parties.
6. Security
We take the security of personal data seriously:
- Encryption with TLS 1.2 or higher in transit and AES-256 at rest.
- Hosting at a provider with ISO 27001 and SOC 2 certifications.
- Regular reviews of our processes and software.
Access to customer data is strictly limited and only allowed when necessary for security, with the customer’s consent, or to resolve a serious incident.
If something goes wrong that constitutes a personal data breach, we act in accordance with the GDPR. For data where we are the controller, we report the breach within 72 hours to the Dutch Data Protection Authority where required, and inform data subjects when this is mandatory. For customer data we process on your behalf, we inform you without undue delay so you can determine the appropriate next steps.
7. Your rights
Under the GDPR, you have the right to:
- Know which personal data we process about you.
- Have incorrect data corrected or supplemented.
- Have your data deleted when permissible.
- Restrict processing or object to it.
- Receive your data in a commonly used format and transfer it to another party.
- Withdraw your consent, to the extent processing is based on consent.

8. Filing a complaint
Not satisfied with how we handle your data? We’d like to hear from you first via privacy@smarfac.com. If we cannot reach a resolution together, you may file a complaint with the Dutch Data Protection Authority via autoriteitpersoonsgegevens.nl.
9. Changes to this statement
We may update this statement, for example due to new legislation or new features. The current version is always available on our website. We will actively notify you of significant changes.

3. Perché li trattiamo
Per ogni finalità disponiamo di una base giuridica ai sensi del GDPR:
- Esecuzione del contratto. Gestione del tuo account, assistenza, fatturazione e messa a disposizione del software.
- Legittimo interesse. Protezione dei nostri sistemi, garanzia della disponibilità, prevenzione delle frodi, analisi degli errori e miglioramento del prodotto. Ci assicuriamo che questo interesse sia sempre bilanciato con i tuoi interessi.
- Obbligo di legge. Per esempio, la conservazione delle fatture per le autorità fiscali.
4. Per quanto tempo li conserviamo
Non conserviamo i dati personali più a lungo di quanto necessario per le finalità per cui li trattiamo o di quanto richiesto dalla legge.
5. Con chi li condividiamo
Solo con i soggetti necessari per fornire il servizio, e solo nella misura necessaria:
- Hosting. I dati del cliente nel software sono conservati in modo sicuro e crittografato su Microsoft Azure, nella regione Europa occidentale.
- Pagamenti. Il nostro fornitore di servizi di pagamento tratta i dati necessari per il pagamento.
- Comunicazione con i clienti. I fornitori di servizi di email e assistenza possono trattare i dati necessari per il contatto e la gestione delle domande.
- Analisi e monitoraggio. Per mantenere Smart Factory sicuro, stabile e affidabile e per migliorarlo in modo mirato, utilizziamo strumenti di analisi e monitoraggio. Questi strumenti trattano dati tecnici e analitici del servizio, non i dati del cliente nel software.
- Sistemi esterni che colleghi tu stesso. Se tramite Smart Factory configuri una connessione API con un sistema a tua scelta, come un gestionale ERP o uno strumento di dashboard, i dati che invii in questo modo vanno a quel fornitore. Noi rendiamo possibile la connessione; in quel caso prevalgono gli accordi tra te e quel soggetto.
- Obbligo di legge. Ad autorità di vigilanza o forze dell’ordine, quando la legge lo richiede.
Con i soggetti che trattano dati personali per nostro conto stipuliamo accordi sul trattamento dei dati o adottiamo adeguate misure di tutela della privacy. Non vendiamo mai i tuoi dati a terzi.
6. Sicurezza
Prendiamo sul serio la sicurezza dei dati personali:
- Crittografia con TLS 1.2 o superiore in transito e AES-256 a riposo.
- Hosting presso un fornitore con certificazioni ISO 27001 e SOC 2.
- Verifiche periodiche dei nostri processi e del nostro software.
L’accesso ai dati del cliente è rigorosamente limitato ed è consentito solo quando necessario per motivi di sicurezza, con il consenso del cliente o per risolvere un incidente grave.
Se si verifica un problema che costituisce una violazione dei dati personali, agiamo in conformità al GDPR. Per i dati di cui siamo titolari del trattamento, notifichiamo la violazione all’Autorità olandese per la protezione dei dati entro 72 ore, ove richiesto, e informiamo gli interessati quando è obbligatorio. Per i dati del cliente che trattiamo per tuo conto, ti informiamo senza ingiustificato ritardo, così puoi stabilire i passi successivi più opportuni.
7. I tuoi diritti
Ai sensi del GDPR, hai il diritto di:
- Sapere quali tuoi dati personali trattiamo.
- Far correggere o integrare i dati inesatti.
- Far cancellare i tuoi dati, ove consentito.
- Limitare il trattamento od opporti a esso.
- Ricevere i tuoi dati in un formato di uso comune e trasmetterli a un altro soggetto.
- Revocare il tuo consenso, nella misura in cui il trattamento si basa sul consenso.

1. What this agreement covers
We process personal data on the basis of your subscription and on your instructions, to provide Smart Factory. The type of personal data and categories of data subjects are determined by what you or your users enter into Smart Factory. That data remains your property and we don’t use it for any other purposes.
This agreement, together with the Service Terms and the Privacy Statement, forms the legal framework for your subscription. In case of conflict on matters of personal data, this agreement prevails.
2. Allocation of responsibility
We are responsible only for the processing we carry out within Smart Factory in accordance with your subscription. For all other processing, including but not limited to the collection of personal data, use outside the software, processing by external systems you connect, and processing for purposes you have not communicated to us, we are not responsible.
You warrant that the personal data you enter into Smart Factory has been lawfully obtained and does not infringe the rights of any third party.
3. Security
We take appropriate technical and organizational measures to protect customer data against loss or unlawful processing. These include encryption in transit and at rest, restricted access for staff, and hosting at a provider with internationally recognized security certifications.
4. Personal data breaches
If we identify a personal data breach that may have material impact on your customer data, we will inform you without undue delay.
The notification to the Dutch Data Protection Authority and any obligation to inform data subjects rest with you as controller. We will share the information you reasonably need to fulfill your notification duty.
5. Data subject requests
If a data subject mistakenly directs a request about their personal data (such as access, rectification or erasure) to us, we will forward that request to you. You are the controller and handle the request.
6. Audit
On request, we share the most recent reports of our external audits, such as SOC 2 reports from our hosting provider.
7. Changes
We will announce changes to this agreement at least 30 days in advance. In case of a material change that is detrimental to you, you may cancel the subscription effective on the date the change takes effect.
8. Liability and applicable law
The liability provisions of the Service Terms apply equally to this agreement.
Dutch law applies to this agreement. Disputes will be submitted to the competent court in Overijssel, the Netherlands.

1. Oggetto del presente accordo
Trattiamo i dati personali sulla base del tuo abbonamento e secondo le tue istruzioni, al fine di fornire Smart Factory. Il presente accordo, insieme ai Termini di servizio e all’Informativa sulla privacy, costituisce il quadro giuridico del tuo abbonamento. In caso di conflitto in materia di dati personali, prevale il presente accordo.
2. Ripartizione delle responsabilità
Siamo responsabili esclusivamente del trattamento che effettuiamo all’interno di Smart Factory in conformità al tuo abbonamento. Non siamo responsabili di qualsiasi altro trattamento, inclusi, a titolo esemplificativo ma non esaustivo, la raccolta dei dati personali, l’uso al di fuori del software, il trattamento da parte di sistemi esterni che colleghi e il trattamento per finalità che non ci hai comunicato.
Garantisci che i dati personali che inserisci in Smart Factory sono stati ottenuti in modo lecito e non violano i diritti di terzi.
3. Sicurezza
Adottiamo misure tecniche e organizzative adeguate per proteggere i dati del cliente da perdita o trattamento illecito. Tra queste rientrano la crittografia dei dati in transito e a riposo, l’accesso limitato da parte del personale e l’hosting presso un fornitore con certificazioni di sicurezza riconosciute a livello internazionale.
4. Violazioni dei dati personali
Se rileviamo una violazione dei dati personali che può avere un impatto rilevante sui tuoi dati del cliente, ti informeremo senza ingiustificato ritardo.
La notifica all’Autorità olandese per la protezione dei dati e l’eventuale obbligo di informare gli interessati spettano a te in qualità di titolare del trattamento. Ti forniremo le informazioni di cui hai ragionevolmente bisogno per adempiere al tuo obbligo di notifica.
5. Richieste degli interessati
Se un interessato rivolge per errore a noi una richiesta relativa ai propri dati personali (come accesso, rettifica o cancellazione), la inoltreremo a te. Sei tu il titolare del trattamento e sei tu a gestire la richiesta.
6. Audit
Su richiesta, condividiamo i report più recenti dei nostri audit esterni, come i report SOC 2 del nostro fornitore di hosting.
7. Modifiche
Comunicheremo le modifiche al presente accordo con almeno 30 giorni di anticipo. In caso di modifica sostanziale a tuo svantaggio, puoi disdire l’abbonamento con effetto dalla data in cui la modifica entra in vigore.
8. Responsabilità e legge applicabile
Le disposizioni sulla responsabilità contenute nei Termini di servizio si applicano anche al presente accordo.
Il presente accordo è disciplinato dalla legge olandese. Le controversie saranno sottoposte al tribunale competente di Overijssel, nei Paesi Bassi.
