Smart Factory Service Terms
Welcome to Smart Factory. We keep these terms as short and clear as possible, because we want you to be able to read them without calling a lawyer. Below you’ll find what you can expect from us, and what we expect from you.
A few things up front:
- Your data is yours. We keep it safe for you, you own it, and we only use it to provide our service to you.
- Cancel monthly. If our service isn’t right for you, you’re not stuck in a long-term contract.
- No signature needed. By using the software, you agree to these terms.

1. Who we are, and who you are
In these terms we mean:
- Smart Factory, “we” or “us”: Smart Factory B.V., a Dutch private limited company with its registered office in Haaksbergen.
- Customer or “you”: the organization using our software.
- User: anyone who works with the software on your behalf, such as colleagues or external workers you give access to.
- Software: the Smart Factory application, including all updates and new features we add to it.
2. How you may use the software
You receive the right to use the software within your own organization. That right is personal (only for you), non-exclusive, and non-transferable to anyone else.
What you may do:
- Use the software for your own business activities.
- Give access to colleagues and external workers who work for you.
What you may not do:
- Resell, rent or license the software to third parties.
- Copy, replicate or reverse-engineer the software.
- Remove or alter our name, logo or copyright notices.
3. Responsible use
We assume you handle the software with care. Specifically: don’t do anything that breaks the law, don’t try to bring the software down or compromise it, and don’t gain unauthorized access to other people’s systems or data.
4. Who owns what
Your data is yours. Anything you enter or store in Smart Factory is and remains your property. We manage it for you, but we make no claim to it.
The software is ours. All rights to the software, designs, models and underlying technology belong to Smart Factory (or the parties from whom we license them). These terms grant you the right to use the software while your subscription is active, nothing more and nothing less.
5. Data and privacy
We know you entrust us with sensitive business data. We handle it carefully.
- Confidential. We treat your data with strict confidentiality.
- Securely stored. Your data is hosted on Microsoft Azure, which meets internationally recognized security and compliance standards (including ISO 27001 and SOC 2).
- Lawful. We process personal data in accordance with applicable privacy laws (including the GDPR) and our privacy statement.
6. Updates and ongoing development
We don’t stand still. Smart Factory is continuously developed to get better. This means new features are regularly added and existing features sometimes change.
We are not obliged to permanently support a specific feature, but we always make those choices with our customers’ interests in mind.
7. Subscription and payment
- Smart Factory is offered on a monthly subscription basis.
- Current pricing is published on our website.
- Invoicing and payment take place monthly.
- If we adjust our pricing, you’ll hear about it at least 30 days in advance.
8. Term and cancellation
Your agreement starts the moment you put the software into use and continues on a monthly basis.
You can cancel each month, with a notice period of 14 days. You don’t have to give a reason.
In exceptional cases, we may terminate the agreement immediately, namely in case of serious misuse of the software, breach of law, or if your organization goes bankrupt.
After the agreement ends, your access to the software stops and we may deactivate your accounts.
9. Liability
We do our utmost to provide Smart Factory in a stable and reliable way. Even so, we provide the software “as is” and cannot guarantee that everything will always work without errors or interruption.
To the extent permitted by law:
- Our total liability is limited to the amount of one month’s subscription.
- We are not liable for indirect damages, such as loss of revenue, consequential damages or loss of data.
If something goes wrong, let us know. We’d rather solve a problem than hide behind a clause.
10. Changes to these terms
We may adjust these terms when needed, for example due to new legislation or new features. For material changes we’ll let you know at least 30 days in advance. The current version is always available on our website.
11. Applicable law
These terms are governed by Dutch law. If we cannot resolve a dispute together, we will submit it to the competent court in Overijssel, the Netherlands. We naturally hope it never comes to that.

1. हम कौन हैं और आप कौन हैं
इन शर्तों में इन शब्दों का अर्थ इस प्रकार है:
- Smart Factory, “हम” या “हमें”: Smart Factory B.V., एक डच प्राइवेट लिमिटेड कंपनी, जिसका पंजीकृत कार्यालय Haaksbergen में है।

2. आप सॉफ़्टवेयर का उपयोग कैसे कर सकते हैं
आपको अपने संगठन के भीतर सॉफ़्टवेयर का उपयोग करने का अधिकार मिलता है। यह अधिकार व्यक्तिगत (केवल आपके लिए), गैर-अनन्य और किसी अन्य को हस्तांतरित न किए जा सकने वाला है।
आप क्या कर सकते हैं:
- सॉफ़्टवेयर का उपयोग अपनी व्यावसायिक गतिविधियों के लिए करना।
- आपके लिए काम करने वाले सहकर्मियों और बाहरी कर्मियों को एक्सेस देना।
आप क्या नहीं कर सकते:
- तीसरे पक्षों को सॉफ़्टवेयर फिर से बेचना, किराए पर देना या उसका लाइसेंस देना।
- सॉफ़्टवेयर की कॉपी बनाना, उसकी नकल करना या उसे रिवर्स-इंजीनियर करना।
- हमारा नाम, लोगो या कॉपीराइट सूचनाएँ हटाना या बदलना।
3. ज़िम्मेदार उपयोग
हम मानते हैं कि आप सॉफ़्टवेयर का सावधानी से उपयोग करते हैं। विशेष रूप से: ऐसा कुछ न करें जो कानून का उल्लंघन करे, सॉफ़्टवेयर को ठप करने या उसकी सुरक्षा में सेंध लगाने की कोशिश न करें, और दूसरों के सिस्टम या डेटा तक अनधिकृत पहुँच हासिल न करें।
4. किसका क्या है
आपका डेटा आपका है। आप Smart Factory में जो कुछ भी दर्ज या संग्रहीत करते हैं, वह आपकी संपत्ति है और बनी रहती है। हम इसे आपके लिए प्रबंधित करते हैं, लेकिन इस पर कोई दावा नहीं करते।
सॉफ़्टवेयर हमारा है। सॉफ़्टवेयर, डिज़ाइन, मॉडल और उनके पीछे की तकनीक के सभी अधिकार Smart Factory के हैं (या उन पक्षों के, जिनसे हम उनका लाइसेंस लेते हैं)। ये शर्तें आपको सब्सक्रिप्शन सक्रिय रहने तक सॉफ़्टवेयर का उपयोग करने का अधिकार देती हैं, न उससे ज़्यादा, न उससे कम।
5. डेटा और गोपनीयता
हम जानते हैं कि आप संवेदनशील व्यावसायिक डेटा हमें सौंपते हैं। हम उसे सावधानी से संभालते हैं।
- गोपनीय। हम आपके डेटा को सख्त गोपनीयता के साथ संभालते हैं।
- सुरक्षित रूप से संग्रहीत। आपका डेटा Microsoft Azure पर होस्ट किया जाता है, जो अंतरराष्ट्रीय स्तर पर मान्यता प्राप्त सुरक्षा और अनुपालन मानकों (ISO 27001 और SOC 2 सहित) को पूरा करता है।
- कानून के अनुसार। हम व्यक्तिगत डेटा को लागू गोपनीयता कानूनों (GDPR सहित) और अपने गोपनीयता कथन के अनुसार प्रोसेस करते हैं।
6. अपडेट और निरंतर विकास
हम रुकते नहीं हैं। Smart Factory को बेहतर बनाने के लिए इसका लगातार विकास किया जाता है। इसका मतलब है कि नियमित रूप से नई सुविधाएँ जुड़ती हैं और मौजूदा सुविधाएँ कभी-कभी बदलती हैं।
हम किसी विशेष सुविधा को स्थायी रूप से सपोर्ट करने के लिए बाध्य नहीं हैं, लेकिन ये निर्णय हम हमेशा अपने ग्राहकों के हितों को ध्यान में रखकर लेते हैं।
7. सब्सक्रिप्शन और भुगतान
- Smart Factory मासिक सब्सक्रिप्शन के आधार पर उपलब्ध है।
- मौजूदा कीमतें हमारी वेबसाइट पर प्रकाशित हैं।
- इनवॉइस और भुगतान हर महीने होते हैं।
- अगर हम अपनी कीमतों में बदलाव करते हैं, तो आपको इसकी जानकारी कम से कम 30 दिन पहले दी जाएगी।
8. अवधि और रद्दीकरण
आपका समझौता उसी क्षण शुरू होता है जब आप सॉफ़्टवेयर का उपयोग शुरू करते हैं, और मासिक आधार पर जारी रहता है।
आप हर महीने 14 दिन की नोटिस अवधि के साथ रद्द कर सकते हैं। आपको कोई कारण बताने की ज़रूरत नहीं है।
असाधारण मामलों में हम समझौते को तुरंत समाप्त कर सकते हैं, अर्थात सॉफ़्टवेयर के गंभीर दुरुपयोग, कानून के उल्लंघन, या आपके संगठन के दिवालिया होने की स्थिति में।
समझौता समाप्त होने के बाद सॉफ़्टवेयर तक आपकी पहुँच बंद हो जाती है और हम आपके खाते निष्क्रिय कर सकते हैं।
9. दायित्व
हम Smart Factory को स्थिर और भरोसेमंद तरीके से प्रदान करने की पूरी कोशिश करते हैं। फिर भी, हम सॉफ़्टवेयर “जैसा है” के आधार पर प्रदान करते हैं और यह गारंटी नहीं दे सकते कि सब कुछ हमेशा बिना त्रुटि या रुकावट के काम करेगा।
कानून द्वारा अनुमत सीमा तक:
- हमारा कुल दायित्व एक महीने के सब्सक्रिप्शन की राशि तक सीमित है।

10. इन शर्तों में बदलाव
ज़रूरत पड़ने पर हम इन शर्तों में बदलाव कर सकते हैं, उदाहरण के लिए नए कानून या नई सुविधाओं के कारण। महत्वपूर्ण बदलावों के बारे में हम आपको कम से कम 30 दिन पहले बताएँगे। मौजूदा संस्करण हमेशा हमारी वेबसाइट पर उपलब्ध रहता है।
11. लागू कानून
ये शर्तें डच कानून के अधीन हैं। अगर हम मिलकर किसी विवाद को नहीं सुलझा पाते, तो हम उसे Overijssel, नीदरलैंड्स की सक्षम अदालत में प्रस्तुत करेंगे। स्वाभाविक रूप से, हम आशा करते हैं कि ऐसी नौबत कभी न आए।
Smart Factory Privacy Statement
We value your privacy and the privacy of everyone who works with our software. This statement explains, clearly and concisely, which personal data we process, why we do so, and what your rights are.
This statement covers personal data for which Smart Factory itself is the controller, such as account, contact and billing details. For personal data that you or your users enter into the software, for example about your employees, the Data Processing Agreement applies.
- Data
- We only process what is necessary to provide and secure our software.
- Purpose
- To manage your account, provide support, handle billing, and keep Smart Factory running reliably.
- Security
- Your data is encrypted and we never sell your information.
- Control
- You can ask us to access, correct or delete your personal data, to the extent permitted by law.

1. Who we are
We are Smart Factory B.V., a Dutch private limited company with its registered office in Haaksbergen.
For data we process for our own purposes, such as your account or a contact request, we are the controller within the meaning of the GDPR. For data that you or your users enter into our software, we are processor on your behalf. The data processing agreement is part of your subscription.
2. What data we process
We keep this to a minimum. Specifically:
- Customer data in the software. Anything you or your users enter into Smart Factory, to the extent it contains personal data. You retain control over this data. We use it only on your instructions and to provide the service.
- Account data.
- Contact details.
- Invoicing and payment details.
- Technical and analytical service data. Data on the use and operation of Smart Factory, needed to keep the service safe, stable and reliable, and to improve it in a targeted way.
3. Why we process it
For each purpose we have a legal basis under the GDPR:
- Performance of the contract. Managing your account, providing support, billing, and making the software available.
- Legitimate interest. Securing our systems, ensuring availability, fraud prevention, error analysis and product improvement. We make sure this is always balanced with your interests.
- Legal obligation. For example, retaining invoices for tax authorities.
4. How long we keep it
We do not retain personal data longer than necessary for the purposes for which we process it, or as required by law.
5. Who we share it with
Only with parties needed to provide the service, and only to the extent necessary:
- Hosting. Customer data in the software is stored safely and encrypted at Microsoft Azure in the West Europe region.
- Payments. Our payment provider processes the data needed for payment.
- Customer communication. Service providers may process the data needed for contact and handling of questions, for email and support.
- Analytics and monitoring. To keep Smart Factory safe, stable and reliable and to improve it in a targeted way, we use analytics and monitoring tools. These process technical and analytical service data, not customer data in the software.
- External systems you connect yourself. If you set up an API connection through Smart Factory to a system of your choice, such as an ERP package or a dashboard tool, the data you send that way goes to that supplier. We facilitate the connection; your agreements with that party are then leading.
- Legal obligation. To regulators or law enforcement when the law requires.
With parties that process personal data on our behalf, we conclude data processing agreements or make appropriate privacy arrangements. We never sell your data to third parties.
6. Security
We take the security of personal data seriously:
- Encryption with TLS 1.2 or higher in transit and AES-256 at rest.
- Hosting at a provider with ISO 27001 and SOC 2 certifications.
- Regular reviews of our processes and software.
Access to customer data is strictly limited and only allowed when necessary for security, with the customer’s consent, or to resolve a serious incident.
If something goes wrong that constitutes a personal data breach, we act in accordance with the GDPR. For data where we are the controller, we report the breach within 72 hours to the Dutch Data Protection Authority where required, and inform data subjects when this is mandatory. For customer data we process on your behalf, we inform you without undue delay so you can determine the appropriate next steps.
7. Your rights
Under the GDPR, you have the right to:
- Know which personal data we process about you.
- Have incorrect data corrected or supplemented.
- Have your data deleted when permissible.
- Restrict processing or object to it.
- Receive your data in a commonly used format and transfer it to another party.
- Withdraw your consent, to the extent processing is based on consent.

8. Filing a complaint
Not satisfied with how we handle your data? We’d like to hear from you first via privacy@smarfac.com. If we cannot reach a resolution together, you may file a complaint with the Dutch Data Protection Authority via autoriteitpersoonsgegevens.nl.
9. Changes to this statement
We may update this statement, for example due to new legislation or new features. The current version is always available on our website. We will actively notify you of significant changes.

3. हम इसे क्यों प्रोसेस करते हैं
हर उद्देश्य के लिए हमारे पास GDPR के तहत एक कानूनी आधार है:
- अनुबंध का पालन। आपके खाते का प्रबंधन, सहायता देना, बिलिंग और सॉफ़्टवेयर उपलब्ध कराना।
- वैध हित। हमारे सिस्टम को सुरक्षित रखना, उपलब्धता सुनिश्चित करना, धोखाधड़ी रोकना, त्रुटियों का विश्लेषण और प्रोडक्ट में सुधार। हम सुनिश्चित करते हैं कि यह हमेशा आपके हितों के साथ संतुलित रहे।
- कानूनी दायित्व। उदाहरण के लिए, कर अधिकारियों के लिए इनवॉइस सुरक्षित रखना।
4. हम इसे कितने समय तक रखते हैं

- एनालिटिक्स और मॉनिटरिंग। Smart Factory को सुरक्षित, स्थिर और भरोसेमंद बनाए रखने और उसे लक्षित तरीके से बेहतर बनाने के लिए हम एनालिटिक्स और मॉनिटरिंग टूल का उपयोग करते हैं। ये टूल तकनीकी और विश्लेषणात्मक सेवा डेटा प्रोसेस करते हैं, सॉफ़्टवेयर में मौजूद ग्राहक डेटा नहीं।
- आपके द्वारा खुद जोड़े गए बाहरी सिस्टम। अगर आप Smart Factory के ज़रिए अपनी पसंद के किसी सिस्टम, जैसे ERP पैकेज या डैशबोर्ड टूल, से API कनेक्शन सेट करते हैं, तो इस तरह भेजा गया डेटा उस आपूर्तिकर्ता के पास जाता है। हम कनेक्शन की सुविधा देते हैं; उसके बाद उस पक्ष के साथ आपके समझौते निर्णायक होते हैं।
- कानूनी दायित्व। कानून की अपेक्षा होने पर नियामकों या कानून प्रवर्तन एजेंसियों को।
जो पक्ष हमारी ओर से व्यक्तिगत डेटा प्रोसेस करते हैं, उनके साथ हम डेटा प्रोसेसिंग समझौते करते हैं या उपयुक्त गोपनीयता व्यवस्थाएँ करते हैं। हम आपका डेटा कभी भी तीसरे पक्षों को नहीं बेचते।
6. सुरक्षा
हम व्यक्तिगत डेटा की सुरक्षा को गंभीरता से लेते हैं:
- ट्रांसफ़र के दौरान TLS 1.2 या उससे ऊपर और संग्रहीत डेटा के लिए AES-256 के साथ एन्क्रिप्शन।
- ISO 27001 और SOC 2 प्रमाणपत्रों वाले प्रदाता के पास होस्टिंग।
- हमारी प्रक्रियाओं और सॉफ़्टवेयर की नियमित समीक्षा।
ग्राहक डेटा तक एक्सेस सख्ती से सीमित है और केवल तभी दिया जाता है जब यह सुरक्षा के लिए ज़रूरी हो, ग्राहक की सहमति हो, या किसी गंभीर घटना को सुलझाना हो।
अगर कुछ ऐसा गलत होता है जो व्यक्तिगत डेटा उल्लंघन माना जाता है, तो हम GDPR के अनुसार कार्रवाई करते हैं। जिस डेटा के नियंत्रक हम हैं, उसके लिए आवश्यक होने पर हम 72 घंटों के भीतर डच डेटा संरक्षण प्राधिकरण को उल्लंघन की सूचना देते हैं, और अनिवार्य होने पर डेटा विषयों को सूचित करते हैं। जो ग्राहक डेटा हम आपकी ओर से प्रोसेस करते हैं, उसके लिए हम आपको बिना अनुचित देरी के सूचित करते हैं, ताकि आप उचित अगले कदम तय कर सकें।

1. What this agreement covers
We process personal data on the basis of your subscription and on your instructions, to provide Smart Factory. The type of personal data and categories of data subjects are determined by what you or your users enter into Smart Factory. That data remains your property and we don’t use it for any other purposes.
This agreement, together with the Service Terms and the Privacy Statement, forms the legal framework for your subscription. In case of conflict on matters of personal data, this agreement prevails.
2. Allocation of responsibility
We are responsible only for the processing we carry out within Smart Factory in accordance with your subscription. For all other processing, including but not limited to the collection of personal data, use outside the software, processing by external systems you connect, and processing for purposes you have not communicated to us, we are not responsible.
You warrant that the personal data you enter into Smart Factory has been lawfully obtained and does not infringe the rights of any third party.
3. Security
We take appropriate technical and organizational measures to protect customer data against loss or unlawful processing. These include encryption in transit and at rest, restricted access for staff, and hosting at a provider with internationally recognized security certifications.
4. Personal data breaches
If we identify a personal data breach that may have material impact on your customer data, we will inform you without undue delay.
The notification to the Dutch Data Protection Authority and any obligation to inform data subjects rest with you as controller. We will share the information you reasonably need to fulfill your notification duty.
5. Data subject requests
If a data subject mistakenly directs a request about their personal data (such as access, rectification or erasure) to us, we will forward that request to you. You are the controller and handle the request.
6. Audit
On request, we share the most recent reports of our external audits, such as SOC 2 reports from our hosting provider.
7. Changes
We will announce changes to this agreement at least 30 days in advance. In case of a material change that is detrimental to you, you may cancel the subscription effective on the date the change takes effect.
8. Liability and applicable law
The liability provisions of the Service Terms apply equally to this agreement.
Dutch law applies to this agreement. Disputes will be submitted to the competent court in Overijssel, the Netherlands.

यह समझौता, सेवा की शर्तों और गोपनीयता कथन के साथ मिलकर, आपके सब्सक्रिप्शन का कानूनी ढाँचा बनाता है। व्यक्तिगत डेटा से जुड़े मामलों में टकराव होने पर यह समझौता प्रभावी होगा।
2. ज़िम्मेदारी का बँटवारा
हम केवल उस प्रोसेसिंग के लिए ज़िम्मेदार हैं जो हम आपके सब्सक्रिप्शन के अनुसार Smart Factory के भीतर करते हैं। अन्य सभी प्रोसेसिंग के लिए हम ज़िम्मेदार नहीं हैं, जिसमें व्यक्तिगत डेटा का संग्रह, सॉफ़्टवेयर के बाहर उपयोग, आपके द्वारा जोड़े गए बाहरी सिस्टम द्वारा प्रोसेसिंग, और ऐसे उद्देश्यों के लिए प्रोसेसिंग शामिल है जो आपने हमें नहीं बताए हैं, लेकिन यह इन्हीं तक सीमित नहीं है।
आप यह आश्वासन देते हैं कि Smart Factory में आपके द्वारा दर्ज किया गया व्यक्तिगत डेटा वैध तरीके से प्राप्त किया गया है और किसी तीसरे पक्ष के अधिकारों का उल्लंघन नहीं करता।
3. सुरक्षा
हम ग्राहक डेटा को खो जाने या गैरकानूनी प्रोसेसिंग से बचाने के लिए उपयुक्त तकनीकी और संगठनात्मक उपाय करते हैं। इनमें ट्रांसफ़र के दौरान और संग्रहीत डेटा का एन्क्रिप्शन, कर्मचारियों के लिए सीमित एक्सेस, और अंतरराष्ट्रीय स्तर पर मान्यता प्राप्त सुरक्षा प्रमाणपत्रों वाले प्रदाता के पास होस्टिंग शामिल है।
4. व्यक्तिगत डेटा उल्लंघन
अगर हमें किसी ऐसे व्यक्तिगत डेटा उल्लंघन का पता चलता है जिसका आपके ग्राहक डेटा पर महत्वपूर्ण प्रभाव पड़ सकता है, तो हम आपको बिना अनुचित देरी के सूचित करेंगे।
डच डेटा संरक्षण प्राधिकरण को सूचना देने और डेटा विषयों को सूचित करने का कोई भी दायित्व नियंत्रक के रूप में आपका है। अपना सूचना-दायित्व पूरा करने के लिए आपको जिस जानकारी की उचित रूप से आवश्यकता होगी, वह हम आपके साथ साझा करेंगे।
5. डेटा विषयों के अनुरोध
अगर कोई डेटा विषय अपने व्यक्तिगत डेटा से जुड़ा कोई अनुरोध (जैसे एक्सेस, सुधार या मिटाना) गलती से हमें भेजता है, तो हम वह अनुरोध आपको भेज देंगे। नियंत्रक आप हैं और अनुरोध पर कार्रवाई आप करते हैं।
6. ऑडिट
अनुरोध करने पर हम अपने बाहरी ऑडिट की सबसे हाल की रिपोर्ट साझा करते हैं, जैसे हमारे होस्टिंग प्रदाता की SOC 2 रिपोर्ट।
7. बदलाव
हम इस समझौते में बदलाव की घोषणा कम से कम 30 दिन पहले करेंगे। अगर कोई महत्वपूर्ण बदलाव आपके लिए नुकसानदेह है, तो आप सब्सक्रिप्शन को उसी तारीख से रद्द कर सकते हैं जिस तारीख से वह बदलाव लागू होता है।
8. दायित्व और लागू कानून
सेवा की शर्तों के दायित्व संबंधी प्रावधान इस समझौते पर भी समान रूप से लागू होते हैं।
इस समझौते पर डच कानून लागू होता है। विवाद Overijssel, नीदरलैंड्स की सक्षम अदालत में प्रस्तुत किए जाएँगे।
